1. Introduction

Welcome to Bedrock Bioscience. These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must discontinue using our Services immediately.

2. Definitions

“We,” “Us,” “Our” refers to Bedrock Bioscience.
“You,” “Your” refers to the user of our Services, including:
- Medical Professionals: Individuals licensed to practice healthcare and authorized to use medical devices in accordance with applicable laws.
- Regular Purchasers: Individuals or entities purchasing products for personal or organizational use, subject to the terms outlined herein.

3. Product Use and User Responsibilities

No Compliance Guarantees: Bedrock Bioscience makes no claims, promises, or guarantees regarding the compliance of its marketing, protocols, or materials provided. It is solely the responsibility of each client to ensure compliance with their state-specific rules and regulations.
Legal and Professional Advice: Bedrock Bioscience’s advice or recommendations do not constitute legal advice. Clients should consult with legal professionals or attorneys before implementing any new protocols, products, or services.

4. Patents and Intellectual Property

Patented Products: Many of Bedrock Bioscience’s products are protected by patents. Unauthorized reproduction, copying, or reverse engineering of these products is strictly prohibited and may result in legal action.
Ownership: All intellectual property, including but not limited to patents, trademarks, copyrights, trade secrets, and proprietary designs, is the sole property of Bedrock Bioscience or its licensors.
Prohibited Use: Users may not reproduce, distribute, modify, or create derivative works of any patented or proprietary product without prior written consent from Bedrock Bioscience.
Consequences of Violation: Unauthorized reproduction, distribution, or production of patented products or intellectual property may result in legal action, including injunctive relief, monetary damages, and recovery of attorney’s fees.

5. Return and Warranty Policy

Due to the medical nature of our products:

No Returns or Refunds: Returns for refunds are not accepted.
Warranty and Replacements: Bedrock Bioscience offers a warranty for many of its products, which includes replacement options where applicable. Details of specific warranties can be provided upon request.
Care+ Program Reference:
After the expiration of the standard one (1) year limited manufacturer warranty, certain Bedrock light therapy devices may be eligible for additional support through the Bedrock Lights Care+™ Program. The Care+ Program provides access to reduced-price replacement units subject to separate terms and conditions. Participation in Care+ does not extend or modify the original manufacturer warranty. Please refer to the “Bedrock Lights Care+™ Program” section of these Terms & Conditions for full details.
Devices outside of the standard warranty period may be eligible for replacement under the Bedrock Lights Care+™ Program, subject to applicable terms and conditions.

6. Bedrock Lights Care+™ Program

Registration Requirement: To activate eligibility for the Bedrock Lights Care+™ Program (“Care+”), the device must be registered within thirty (30) days of original purchase through the official Bedrock Bioscience registration portal.
Required registration information includes the information below. Failure to complete registration within this timeframe may result in ineligibility for Care+ benefits.

- Product Model
- Serial Number
- Proof of Purchase
- Purchasing Clinic Name (if applicable)
Program Terms & Conditions
By registering for the Bedrock Lights Care+™ Program, you agree to the following:
1. Patient-Only Coverage: The Bedrock Lights Care+™ Program is exclusively available to individual patients who purchase a device for personal, at-home use. Coverage does not apply to devices used in clinics, medical practices, med spas, commercial treatment facilities, demo units, resale inventory, or distributor stock. Coverage is non-transferable and applies only to the original patient purchaser.
2. Original Purchase Requirement: Reduced-price replacement eligibility applies only to devices originally purchased from Bedrock Bioscience or an authorized Bedrock provider and verified with valid proof of purchase. Devices purchased secondhand or through unauthorized sellers are not eligible.
3. Coverage Timing: The Care+ Program becomes applicable only after expiration of the standard one (1) year limited manufacturer warranty. Care+ does not replace, duplicate, or extend the original manufacturer warranty.
4. Replacement Eligibility & Limits: Each originally registered light device is eligible for up to two (2) replacement purchases under the Care+ Program. Replacement eligibility is tied to the registered serial number. Replacement purchases beyond two (2) per device are not permitted.
5. Replacement Policy: If a claim is reviewed and approved, the patient may purchase a replacement device at the designated Care+ reduced replacement price. Replacement pricing is determined by Bedrock Bioscience and may vary by model. Replacement units may be new or refurbished units of equal or greater functionality. All replacement approvals are made at Bedrock Bioscience’s sole discretion and require an image, video or the return of the physical device being replaced for inspection.
6. Warranty on Replacement Devices: Each replacement device purchased under the Care+ Program includes a standard one (1) year limited manufacturer warranty beginning on the shipment date of the replacement unit. Replacement purchases do not reset or extend Care+ eligibility beyond the original program structure.
7. Exclusions: Care+ does not cover:
  1. Intentional damage
  2. Misuse
  3. Unauthorized modifications or repairs
  4. Cosmetic damage not affecting functionality
  5. Loss or theft
  6. Use outside intended patient home-use guidelines
8. Program Modifications: Bedrock Bioscience reserves the right to modify, update, or discontinue the Care+ Program at any time without prior notice.
9. Program Nature: The Care+ Program is a support and replacement access program and is not an insurance policy. Participation in Care+ does not create any additional warranties beyond those expressly stated herein.

7. Video Content Disclaimer

Informational Purpose Only: Multimedia content (“Video Content”) is provided for informational and educational purposes only and does not constitute medical advice or endorsement by Bedrock Bioscience or its affiliates.
No Representations or Warranties: Bedrock Bioscience makes no representations or warranties regarding the accuracy, applicability, or completeness of the Video Content and disclaims liability for its use.
Medical Advice Disclaimer: The Content is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider regarding medical conditions. Never delay seeking medical advice due to information from the Content.
No Liability: Bedrock Bioscience disclaims all liability for any direct, indirect, or consequential damages arising from the use of the Video Content.

8. Compliance with Regulatory Standards

Bedrock Bioscience ensures that its products adhere to FDA regulations and ISO 13485:2016 standards. Users must comply with all applicable laws and regulations governing the use, handling, and disposal of medical devices and related products.

9. Limitation of Liability

To the fullest extent permitted by Florida law:

Bedrock Bioscience shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our products or Services.
For medical professionals, our liability for direct damages is limited to the amount paid for the product or service in question.
For regular purchasers, liability is similarly limited to the purchase price of the product or service in question.

10. Jurisdiction and Governing Law

These Terms and any disputes arising from your use of our Services shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles. You agree that any legal actions or proceedings will be resolved exclusively in the state or federal courts located in Pinellas County, Florida.

11. Dispute Resolution

Arbitration: Any dispute or claim arising out of or relating to these Terms shall be resolved through binding arbitration in Pinellas County, Florida, in accordance with the rules of the American Arbitration Association.
Class Action Waiver: You agree to waive any right to participate in class action lawsuits related to these Terms or our Services.

12. Updates and Amendments

We reserve the right to modify these Terms at any time. If we make significant changes, we will notify you via email or through our website. Continued use of our Services constitutes acceptance of the updated Terms.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bedrock Bioscience and its affiliates, officers, agents, and employees from any claims, damages, or liabilities arising from:

For Medical Professionals: Your misuse of our products or violation of these Terms in a professional capacity.
For Regular Purchasers: Your misuse of our products or violation of these Terms in a personal or organizational capacity.
